1. Scope
These General Terms and Conditions apply to all contracts and services between

(hereinafter referred to as "Provider") and the client (hereinafter referred to as "Client"). Deviating conditions of the Client are only recognised if the Provider has expressly agreed to them in writing.
2. Scope of Services
The Provider offers services in the areas of web design, web development, consulting and project planning, SEO optimisation, as well as hosting and maintenance. The exact scope of services is defined in the respective quotation or order confirmation.
3. Quotation and Contract Formation
Quotations from the Provider are non-binding. A contract is only concluded upon written confirmation by the Provider or upon commencement of the agreed work. Verbal side agreements require written form.
4. Prices and Payment Terms
- All prices are in Swiss Francs (CHF) and exclude VAT unless otherwise specified.
- For larger projects, an advance payment of up to 50% may be agreed before work begins.
- Invoices are payable within 30 days from the invoice date without deduction.
- In the event of late payment, default interest of 5% p.a. will be charged.
5. Client's Obligations
The Client shall provide the Provider with all necessary documents, content (texts, images, logos, etc.) and access in a timely manner and in a suitable format. Delays attributable to the Client's failure to cooperate shall not be to the detriment of the Provider.
6. Copyright and Usage Rights
- The Provider retains copyright to all created works (designs, code, concepts) until full payment has been received.
- Upon full payment, the agreed usage rights are transferred to the Client.
- The Provider may use completed projects as references in their own portfolio, unless the Client objects in writing.
7. Confidentiality and Discretion
The Provider undertakes to maintain strict confidentiality regarding all business and project information of the Client. This includes in particular business strategies, customer information and all project-related content. This obligation of confidentiality shall continue to apply after the termination of the contractual relationship.
8. Duration and Termination
- One-off projects: The contract ends with the completion and acceptance of the project.
- Hosting and maintenance: Ongoing contracts may be terminated by either party with 3 months' notice to the end of the month.
- Extraordinary termination for good cause remains reserved.
9. Warranty and Liability
- The Provider warrants the professional execution of the agreed services.
- Defects must be reported in writing within 14 days of acceptance.
- The Provider's liability is limited to intent and gross negligence. Liability for slight negligence, indirect damages and lost profits is excluded to the extent permitted by law.
- Liability is in any case limited to the value of the contract.
10. Force Majeure
Delays in performance due to force majeure (natural disasters, pandemics, internet outages, official measures, etc.) do not constitute default. Both parties are entitled to withdraw from the contract if the force majeure event lasts for more than 3 months.
11. Final Provisions
- Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods.
- The place of jurisdiction is Birsfelden BL, Switzerland.
- Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
